Welcome to Audixa AI ("we," "our," or "us"). By accessing or using our AI text-to-speech services, website, and API (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By registering for an account or using our Services, you confirm that you are at least 13 years old (or the minimum age required in your jurisdiction) and have the legal capacity to enter into this agreement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Audixa AI provides AI-powered text-to-speech generation services, including voice synthesis, voice cloning, and related audio processing features. Public voice samples and account creation do not require a generation purchase, but generating audio requires an available balance from a top-up or paid subscription. Plans vary by voice access, models, custom voice limits, API access, and concurrency. Service features and availability may change over time as we continue to develop and improve our platform.

3. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Keep your account credentials confidential and not share them with third parties.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or disable accounts that appear to be compromised, inactive for extended periods, or in violation of these Terms.

4. Acceptable Use

You agree not to use the Services to:

  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or hateful.
  • Create deepfakes, impersonations, or synthetic voice content intended to deceive, mislead, defraud, or harm others.
  • Clone or replicate any person's voice without their explicit, informed consent.
  • Infringe upon the intellectual property rights, privacy rights, or publicity rights of any third party.
  • Distribute spam, phishing content, or malware using generated audio.
  • Circumvent, disable, or otherwise interfere with any security or access control features of the Services.
  • Use automated systems (bots, scrapers, etc.) to access the Services in a manner that exceeds reasonable use or bypasses rate limits.
  • Resell, sublicense, or redistribute access to the Services without our prior written consent.

We reserve the right to investigate violations and take appropriate action, including suspending or permanently terminating your account, removing content, and reporting illegal activity to law enforcement authorities.

5. Intellectual Property

  • Your Content: You retain ownership of the text you input and the audio files generated using our Services, subject to our license to process this data to provide the Service. You are solely responsible for ensuring you have the necessary rights and permissions for any content you input.
  • Our Technology: Audixa AI retains all rights, title, and interest in and to the Services, including our AI models, algorithms, software, trademarks, and underlying technology. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.
  • Custom Voices: Voice models you create using our voice cloning features are tied to your account. You represent and warrant that you have obtained all necessary consents and rights from any individual whose voice is used to create a custom voice model.

6. Payments, Subscriptions, and No Refunds

Paid services are provided on a subscription or credit-based (pay-as-you-go) basis. By purchasing a subscription or credits, you agree to the following:

  • Billing: Payments are processed securely by our third-party payment providers. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your chosen plan).
  • No Refunds: All payments are final and non-refundable. We do not offer refunds or credits for any partial subscription periods, unused credits, or unused features. By making a purchase, you acknowledge and agree that no refunds will be issued under any circumstances, except where required by applicable law.
  • Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to your paid features until the end of your current billing period. No prorated refunds will be provided for the remaining period.
  • Top-up Expiry: Top-up funds do not expire while your subscription is active. Without an active subscription, new top-ups expire 30 days after purchase. If an active subscription ends or fails, remaining top-up funds receive a new 30-day expiry period.
  • Price Changes: We reserve the right to modify our pricing at any time. Any price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of any price increases.
  • Failed Payments: If a payment fails, we may suspend access to paid features until payment is successfully processed.

7. Service Availability and Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We do not guarantee that the Services will be uninterrupted, error-free, or secure. We may modify, suspend, or discontinue any part of the Services at any time without prior notice.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of results.

8. Limitation of Liability

To the maximum extent permitted by law, Audixa AI, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses arising out of or related to your use of the Services.

Our total aggregate liability for any claims arising out of or related to these Terms or the Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Audixa AI and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Account Termination

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Account deactivation blocks access and removes user-uploaded files from active storage where deletion succeeds, but limited account, billing, transaction, security, generation-history, and analytics records may be retained as described in our Privacy Policy. Deactivating an account does not by itself entitle you to a refund.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration, except where prohibited by law.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services following the posting of changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
